Clerking Services

NEMAT Clerking Service provides a highly professional package using our broad expertise and proficiency in all governance matters.  We are confident in supporting and promoting an excellent clerking service to schools and academies.

Our service provides:-

  • Preparation/distribution of agendas for meetings, plus supporting papers, as appropriate within the time limits required by the Articles of Association; 
  • attendance at meetings, ensuring they are quorate and accurate notes taken; 
  • writing, producing and submitting draft minutes of the meetings, as appropriate, to the Chair within agreed timescales; 
  • distribution of draft minutes to the trustees/governors where appropriate, as soon as the draft minutes are approved by the Chair; 
  • establishment of Pupil Discipline, Staff Discipline and Complaints Panels within statutory time limits and policy requirements;
  • maintenance of membership records on individual trustee/governor attendance and terms of office;
  • maintenance of register of Governing Body business and pecuniary interests reviewed on an annual basis; 
  • creation and distribution of annual schedule of meetings;
  • maintenance of a governors policy schedule for school policies;
  • liaison with the link governor and maintenance of records of governor training;
  • maintenance of records of committee membership and their terms of reference; 
  • alerting the Trust Board and/or governing body and appointing bodies in advance of any impending membership considerations; 
  • maintenance of the official minute book;
  • liaison with the Company Secretary to ensure academy compliance;
  • liaison with the school to ensure all trustee/governor information is up-to-date on Edubase;
  • advice to the school on what information is required to be published on its website;
  • advice on procedural and legislative matters in relation to the Trust Board, its committees and/or governing body as appropriate, in accordance with information contained within the Articles of Association, Funding Agreement, Independent School Standards Regulations, Academies Financial Handbook, Governors’ Handbook and any other relevant circulars.
